1. Acceptance of Terms
By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use the Services. If you are using the Services on behalf of an entity, you represent that you are authorized to bind that entity to these Terms.
2. Description of Service
CCC operates a technology and coordination platform for long-tail tariff (IEEPA) recovery, duty drawback, and related programs. CCC provides analytics, qualification, pathway routing, and engagement coordination. Customs declarations, ABI filings, and legal matters are handled by licensed third-party partners as described below.
3. Not a Broker, Law Firm, or Adviser — No Advice
CCC is not a customs broker, law firm, accounting firm, or registered investment adviser. CCC does not provide legal, tax, customs, accounting, financial, or investment advice. ACE/CAPE declarations and ABI filings are prepared and submitted exclusively by licensed CBP/customs partners, and only when a file warrants escalation. Legal matters are handled by qualified independent legal counsel where appropriate.
4. Eligibility and No Guarantee
Use of the Services does not guarantee any recovery. Eligibility and outcomes depend on documentation, timing, claim type, importer-of-record status, supplier cooperation, legal review, and applicable law. Past results do not guarantee future outcomes.
5. Engagement Terms
Any client engagement with CCC is governed by a separate written engagement agreement that controls scope, fees, contingencies, partner assignments, and other terms. Fees are typically contingency-based (no recovery, no fee) as defined in your engagement agreement; rates and terms are set per engagement. Submitting an intake form or creating a portal account does not, by itself, create an engagement.
6. User Responsibilities and Accurate Information
You agree to provide accurate, complete, and current information; to keep your portal credentials confidential; and to use the Services only for lawful purposes consistent with these Terms. You are responsible for all activity that occurs under your account and for promptly notifying us of any unauthorized use.
7. Intellectual Property
The Services, including all software, content, scoring models, analytics, designs, and trademarks, are owned by CCC or its licensors and protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for their intended purpose. You may not copy, modify, reverse engineer, scrape, or create derivative works without our prior written consent.
8. Third-Party Links and Services
The Services may link to or interoperate with third-party websites and services. CCC does not control and is not responsible for third-party content, products, or practices. Your use of third-party services is governed by their own terms.
9. Disclaimer of Warranties
The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, CCC and its affiliates and partners disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation.
10. Limitation of Liability
To the maximum extent permitted by law, in no event will CCC or its affiliates, officers, employees, or partners be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or related to your use of the Services. CCC's aggregate liability arising out of or related to the Services will not exceed the greater of (a) fees actually paid by you to CCC under an engagement in the 12 months preceding the claim, or (b) US$100.
11. Indemnification
You agree to defend, indemnify, and hold harmless CCC and its affiliates and partners from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (i) your use of the Services, (ii) your violation of these Terms or applicable law, or (iii) information you submit being inaccurate, unauthorized, or infringing.
12. Governing Law and Venue
These Terms are governed by the laws of the State of [Governing Law State], without regard to its conflict-of-laws principles. The exclusive venue for any dispute will be the state or federal courts located in [Venue County, State], and the parties consent to personal jurisdiction in those courts.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by updating the “Last updated” date above and, where appropriate, by additional notice. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
